POVPlayer — Terms of Service

1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the POVPlayer video and media platform, including our websites, web, desktop, and mobile applications, media players, content libraries, playlists, AI features, and related services (collectively, the "Platform"). The Platform is operated by POVPlayer, LLC ("POVPlayer," "we," "us," or "our").
By creating an account, accessing, or using the Platform, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the Platform. By using the Platform you represent that you meet this requirement and that the information you provide is accurate and current.
3. The Service
The Platform provides tools for playing, streaming, organizing, and sharing video and other media content. Depending on your plan, features may include media playback across devices, content libraries and playlists, uploading and hosting of your own media, viewing history and resume-playback, and AI-assisted features such as recommendations, search, transcription, and summaries.
Availability, playback quality, and performance depend on factors outside our control, including your device, network connection, and third-party hosting and delivery infrastructure. Features may vary by plan, platform, region, and device, and may change over time (see Section 17).
The Platform is a playback and media-management tool. Any content available through the Platform — whether provided by us, licensed from third parties, or uploaded by users — is for general informational and entertainment purposes. It does not constitute professional, legal, medical, financial, or safety advice, and you should not rely on it as such.
4. AI Features
The Platform may use artificial intelligence to generate or shape features such as recommendations, search results, transcripts, captions, translations, chapters, and summaries. AI systems can produce output that is inaccurate, incomplete, or out of date, and can generate plausible-sounding errors.
AI output is provided as a convenience. You should independently verify any information that matters to you before relying on it. AI output does not represent the advice or opinion of POVPlayer.
5. Accounts and Security
To access most features you must create an account. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity under your account. Notify us promptly at support@POVPlayer.com of any unauthorized use. We are not liable for losses arising from your failure to protect your credentials.
Authentication and account management may be handled through a third-party identity provider. Your use of that sign-in is subject to its applicable terms in addition to these Terms.
6. Organizational and Sponsored Accounts
Where an employer or other organization sponsors your access ("Sponsored Account"), the organization's administrator may create, manage, suspend, or remove user access, manage libraries and content, and view records of activity within its account. If you use the Platform under a Sponsored Account, you acknowledge that your administrator has this access and control. Allocation of seats and entitlements between the organization and its users is governed by the organization's agreement with us and its own internal policies.
7. Subscriptions, Billing, and Refunds
Some features require a paid subscription. Pricing, billing cycles, and plan details are presented at the point of purchase. Payments are processed by a third-party payment processor; we do not store full payment-card details.
Unless stated otherwise at purchase, subscriptions renew automatically at the then-current rate until cancelled. You may cancel at any time through your account settings or by contacting support@POVPlayer.com; cancellation takes effect at the end of the current billing period. Fees are non-refundable except as required by law, even if you do not use the Platform during the paid term. We may offer trial or discounted terms. We may change prices on prospective renewals with advance notice.
8. Acceptable Use
You agree not to:
- use the Platform for any unlawful purpose or in violation of these Terms;
- share, resell, or provide access to your account except as expressly permitted under a Sponsored Account;
- upload, stream, or share content you do not have the right to use, including content that infringes another party's copyright, trademark, publicity, or privacy rights;
- upload or share content that is unlawful, defamatory, harassing, obscene, or confidential to a third party;
- copy, scrape, reproduce, distribute, or create derivative works from Platform content except as expressly allowed;
- circumvent, disable, or interfere with any content-protection, DRM, geographic, or access-control measures;
- reverse engineer, decompile, or attempt to extract source code, models, prompts, or underlying data;
- upload malware, attempt to breach security, interfere with the Platform's operation, or access it through automated means without authorization; or
- rip, capture, or redistribute streams or downloads except as playback features expressly permit.
We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Platform, other users, or us.
9. Intellectual Property
The Platform, including its software, players, interfaces, text, graphics, branding, and underlying technology, is owned by POVPlayer or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own personal use, or, for Sponsored Accounts, for the sponsoring organization's internal use. No other rights are granted. "POVPlayer" and associated logos and marks are our property and may not be used without permission.
Content available through the Platform that is provided by us or our licensors is licensed to you for streaming and playback through the Platform only, and may not be downloaded, copied, or redistributed except where a feature expressly permits it.
10. Your Content
You may upload or submit video, audio, images, playlists, comments, and other material ("User Content"). You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transcode, process, transmit, and display your User Content as necessary to operate, provide, and improve the Platform, including generating derived assets such as thumbnails, previews, transcripts, and adaptive-bitrate renditions.
You are responsible for your User Content and represent that you have all rights necessary to submit it and to grant the license above. Do not upload another party's confidential, proprietary, or personal information, or content you do not have the right to share. We may remove or disable User Content that we reasonably believe violates these Terms or the law.
11. Copyright Complaints (DMCA)
We respect intellectual-property rights and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA). If you believe content on the Platform infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to our designated agent at support@POVPlayer.com with the subject line "DMCA Notice."
If your content was removed in response to a notice and you believe the removal was mistaken, you may submit a counter-notice as provided by the DMCA. We may terminate the accounts of repeat infringers.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy. Playback activity, library, and usage data may be recorded and, for Sponsored Accounts, made available to your administrator as described in Section 6.
13. Third-Party Services and Content
The Platform integrates third-party services (for example, identity, payment, hosting, content delivery, and AI providers) and may link to or play content from third-party sources. Those services and sources are governed by their own terms and privacy practices. We are not responsible for third-party services or content and disclaim liability arising from them to the extent permitted by law.
14. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE PLATFORM, ITS CONTENT, OR ANY AI OUTPUT IS ACCURATE, COMPLETE, CURRENT, RELIABLE, UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR ANY PARTICULAR PURPOSE, OR THAT ANY CONTENT WILL REMAIN AVAILABLE, OR THAT STORED CONTENT WILL NOT BE LOST OR CORRUPTED. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN COPIES OF ANY CONTENT YOU UPLOAD.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POVPlayer AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless POVPlayer and its owners, members, officers, employees, and suppliers from any claims, losses, liabilities, and reasonable expenses (including attorneys' fees) arising out of your misuse of the Platform, your violation of these Terms, your User Content, or your infringement of any third party's rights.
17. Suspension and Termination
We may suspend or terminate your access at any time for violation of these Terms or as reasonably necessary to protect the Platform or others. You may stop using the Platform and close your account at any time. Upon termination we may delete your account data and User Content after a reasonable period, subject to our Privacy Policy and legal obligations. Sections that by their nature should survive termination — including Sections 4, 9, 10, 11, 14, 15, 16, and 19 — survive.
18. Changes to the Platform and These Terms
We may modify or discontinue features of the Platform, and we may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying you). Your continued use after changes take effect constitutes acceptance. If you do not agree, you must stop using the Platform.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. The parties will first attempt to resolve any dispute through good-faith discussion. Disputes not resolved informally may be brought in the state or federal courts located in New York, and you consent to their jurisdiction, except that either party may seek injunctive relief for intellectual-property or confidentiality matters in any court of competent jurisdiction.
20. General
These Terms, together with the Privacy Policy and any order or organizational agreement, are the entire agreement between you and us regarding the Platform. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
